Terms and Conditions for VeraWear Model Searches

Effective Date: January 1st, 2025

By submitting an application to the Vera Wear Model Search, you agree to the following terms and conditions. Please read them carefully before participating.

1. Grant of Rights

By submitting your application, including but not limited to photos, videos, and personal information (such as your name, social media handles, and any other materials), you irrevocably grant Vadera Capital, LLC (the parent company of VeraWear) and its affiliates the following rights:

• Universal and Perpetual Use:

VeraWear retains the universal, royalty-free, perpetual, and irrevocable right to use your name, likeness, image, voice, videos, and photos in any format or media now known or developed in the future, without limitation, for advertising, promotional, or commercial purposes worldwide.

• Modification Rights:

VeraWear reserves the right to modify, edit, or adapt any materials you submit as necessary for promotional or commercial purposes.

2. Use of Personal Information

By participating, you authorize VeraWear to use your personal information, including but not limited to your name, social media handles, and email address, for:

• Promotional campaigns.
• Publication on VeraWear’s website, social media channels, and marketing materials.
• Sharing with affiliates and third-party partners for potential collaborations, sponsorships, and promotional opportunities.

3. Third-Party Sharing and Affiliate Opportunities

You expressly consent to VeraWear sharing your information with third-party affiliates, partners, and sponsors for purposes such as:

• Contacting you with modeling opportunities, brand collaborations, and promotional campaigns.
• Selling products or promoting affiliated services.

4. Publicity and Social Media Disclosure

By submitting your application, you agree that your social media profiles, posts, and associated content may be publicly referenced or displayed by VeraWear in its promotions and campaigns without any further notification or approval.

5. No Compensation

Submission to the VeraWear Model Search does not guarantee any form of compensation unless specifically outlined in a separate written agreement. Any use of your submitted materials by VeraWear or its affiliates will be without additional compensation unless agreed otherwise.

6. Release of Liability

You release VeraWear and its affiliates from any claims, liabilities, or damages arising from the use of your submitted materials as described in this agreement.

7. Acknowledgment of Agreement

By submitting your application to the VeraWear Model Search, you confirm that:

• You are at least 18 years of age or have the legal consent of a parent/guardian if under 18.
• You fully understand and agree to the terms outlined in this document.

If you do not agree to these terms, please refrain from submitting an application.
